Terms of Service

Last updated: October 16, 2026

Welcome to Squify ("the Service", "we", "us"). These Terms of Service ("Terms") govern your use of our website, applications, and related features. By registering, signing in, or using the Service, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, please do not use the Service.

1. The Service

The Service is an online platform that lets teachers and educators create learning materials, question sets, and interactive activities. It includes templates, AI-assisted content generation, image and audio management, activity sharing, student result tracking, and a content marketplace.

We may add, change, or remove features at any time. If a change materially harms paid users, we will give reasonable advance notice.

2. Accounts

Most features require an account. You must provide accurate information and keep your sign-in credentials secure. You are responsible for all activity that happens under your account.

If you notice any unauthorized use of your account, notify us immediately at louisyang1101@gmail.com.

You must be at least 18 years old, or the age of legal majority where you live, to register an account or subscribe to a paid plan. Students join activities through activity links and do not need an account.

3. Plans, Subscriptions, and Payment

The Service offers a free plan and a paid plan. Plan features, usage limits, and prices are as shown on our pricing page.

The paid plan is a monthly subscription that renews automatically. Unless you cancel before the end of the current billing period, it will renew and be charged at the then-current price.

Payments are processed by Lemon Squeezy, which acts as our Merchant of Record. Payment details such as card numbers are held by Lemon Squeezy and its payment partners; we never receive or store them. Applicable taxes are calculated and collected by Lemon Squeezy, and your purchase is also subject to Lemon Squeezy's terms.

You can cancel anytime from the Plans & Billing page. After you cancel, your subscription will not renew, and paid features remain available until the end of the current billing period.

We may change the price of the paid plan. We will notify you at least 30 days before a price change takes effect, and the new price applies from your next billing period. If you do not agree, you may cancel before the change takes effect.

If a renewal payment fails, we may keep paid features available for a grace period while you update your payment method. If payment still has not succeeded when the grace period ends, your account returns to the free plan.

4. Usage Limits and Plan Changes

Each plan has limits on the number of activities, materials, question sets, images, and audio files, and includes a monthly AI usage allowance (tokens).

If your subscription is cancelled or ends and you return to the free plan, all of your existing content is kept and you can continue to view, edit, and use it. However, if you are above a free plan limit, you cannot add more of that type of content until you are back under the limit.

If after downgrading to the free plan your image or audio count remains above the free limit, we may email you to clean up. If you are still over the limit 30 days after that notice, we may delete unused images and audio that exceed the free limit (files not referenced by materials, activities, question sets, or similar). Content that is in use will not be deleted under this rule. Official assets do not count toward the limit and will not be deleted under this rule.

AI tokens have no cash value and cannot be redeemed for cash, transferred, or refunded. Remaining tokens stay usable after you cancel.

5. AI Features

Some features use third-party AI models to generate text, images, or audio. AI output may be inaccurate, incomplete, or unsuitable for a particular purpose. Review and correct it before using it in your teaching.

Content you submit to AI features is sent to AI service providers for processing as described in our Privacy Policy. Do not include sensitive personal information about students or others in your prompts.

You may not use AI features to generate content that is illegal, infringing, hateful, sexually explicit, violent, or otherwise in violation of these Terms.

6. Your Content

You (or the original rights holders) keep all rights to the materials, question sets, activities, images, audio, and other content you upload or create ("Your Content").

To operate the Service, you grant us a non-exclusive, worldwide, royalty-free license to store, copy, process, convert, and display Your Content only as needed to provide, maintain, and improve the Service. This license ends when you delete the content or your account, after a reasonable backup retention period.

When you share content with others or publish it to the marketplace, you agree that other users may view, use, or import a copy as that feature is designed. Copies that others have already imported are not removed if you later delete the original.

You represent that you have all rights needed to upload and share Your Content, and that it does not infringe anyone's copyright, trademark, publicity, privacy, or other rights.

7. Prohibited Conduct

When using the Service, you must not: upload or distribute content that is illegal, infringing, defamatory, sexually explicit, violent, hateful, or harassing; collect or disclose others' personal information without consent; distribute malware or add code to templates or activities that harms users; interfere with, attack, or attempt unauthorized access to the Service or other users' data; access, scrape, or abuse the Service or AI features through automated means at scale; resell or commercially exploit the Service without authorization; or circumvent plan limits or payment mechanisms.

We may remove content that violates these Terms and, depending on the severity, suspend or terminate the accounts involved.

8. Students and Minors

Students who join an activity through a teacher's link only enter a nickname. Their results are visible to the teacher who created the activity.

Teachers and schools are responsible for making sure that student use of the Service complies with local laws and school policies, and for obtaining parental or guardian consent where required. Please remind students not to use their full real name or other identifying information as a nickname.

9. Intellectual Property

Except for Your Content and other users' content, the software, interface design, official templates, official assets, trademarks, and logos of the Service belong to us or our licensors.

As long as you comply with these Terms, you may use official templates and assets to create learning activities within the Service. Otherwise, you may not copy, modify, distribute, or use them without our written permission.

10. Interruption, Suspension, and Termination

We work to keep the Service stable, but it may be temporarily unavailable due to maintenance, upgrades, third-party outages, network problems, or events beyond our control. We will announce planned maintenance in advance when possible.

You may stop using the Service at any time and request account deletion by email. We will delete or de-identify your account data and content within a reasonable period (except marketplace copies already imported by other users).

If a free-plan account has not been signed in to for 12 consecutive months, we may notify the registered email address. If there is still no sign-in within 30 days after that notice, we may delete the account and its content. We will not delete an account solely for inactivity while a paid subscription remains entitled.

We may suspend or terminate your account and remove violating content if you break these Terms. If we decide to shut down the Service, we will give at least 30 days' notice, provide a reasonable opportunity to export your content, and refund any prepaid, unused subscription time on a pro-rata basis.

11. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, or fit for your particular needs, or that AI output will be accurate.

Content shared by users or published to the marketplace is the responsibility of the user who shared it. We make no guarantees about its accuracy, legality, or quality.

12. Limitation of Liability

If you suffer damage for reasons attributable to us, except in cases of our intentional misconduct or gross negligence, we are liable only for direct and ordinary damages, and our total liability is limited to the amount you actually paid us for the Service in the 12 months before the damage occurred.

Except in cases of our intentional misconduct or gross negligence, we are not liable for any indirect, incidental, special, or consequential damages (including lost profits or lost data).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Japan's Consumer Contract Act or the laws where you live, or affects your statutory consumer rights.

13. Changes to These Terms

We may update these Terms and will change the "Last updated" date on this page. If a change materially affects your rights, we will notify you in advance by email, in-app notice, or another reasonable method. Continuing to use the Service after a change takes effect means you accept the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The parties will first try to resolve any dispute in good faith. If that fails, the Tokyo District Court has exclusive jurisdiction as the court of first instance, unless mandatory law, such as consumer protection law, provides otherwise.
